Terms for partnership, removal and ranking of products

The Vente-unique.com Marketplace is a platform that connects sellers and buyers. Here, independent professional sellers can present their range, create product descriptions, receive orders and handle both sales and subsequent customer service themselves.

Transactions carried out on the Marketplace in connection with the purchase of products are entered into directly between the buyer and the seller. Vente-unique.com does not act as a retailer for the products offered by the sellers via the Marketplace. The partnership between Vente-unique.com and the relevant seller is governed by the contract entered into between the parties.

Vente-unique.com has no financial connections or legal dependency on the sellers associated with the Marketplace. None of these relationships influence how product pages are displayed or ranked on the platform.

TERMS FOR PARTNERSHIP

The seller must submit a request for registration on the Marketplace and attach all documents and information requested by Vente-unique.com. In this connection, every seller is required to demonstrate to Vente-unique.com that they meet the following requirements:

• Accept the Seller Contract and the Marketplace's general terms and conditions.
• Act in a professional capacity in accordance with applicable legislation.
• Provide all necessary information and documents to the operator and ensure they are kept up to date, including documentation required by the payment service provider (PSP).
• Offer products belonging to the product categories supported by the Marketplace.
• Only sell products or services that comply with EU legislation, including Regulation 2022/2065 of the European Parliament and of the Council of 19 October 2022.
• Provide all legally required information in product descriptions, including essential product characteristics and other mandatory information.
• Be able to offer delivery and, where relevant, collection and return of products in accordance with applicable legislation, including consumer protection and sale of goods laws.
• Not be subject to insolvency proceedings or similar measures under applicable law, including restructuring, bankruptcy, liquidation or other equivalent procedures, whether domestically or abroad.

TERMS FOR REMOVAL

A seller's offers are removed from the Marketplace when the seller closes their seller account in accordance with the provisions of the Seller Contract. Vente-unique.com also reserves the right to remove content from a seller or suspend the seller account if the seller fails to comply with the obligations set out in the Seller Contract, particularly in the following cases:

• Repeated or persistent breaches of these provisions or of applicable laws and regulations.
• Misuse or improper use of the licence to use the Marketplace.
• A payment problem or non-payment.
• Lack of cooperation from the seller.
• Suspicion of infringement of third-party intellectual property rights.
• Disloyal or wrongful conduct towards Vente-unique.com.
• Display of own domain name on the Marketplace.
• Publication of product descriptions that are not authorised, or that infringe third-party rights or an exclusive/selective distribution network.
• Provision of incorrect information to Vente-unique.com in connection with the seller's registration, or failure to update such information during the contract period.
• Failure to comply with the seller's legal obligations towards the buyer.
• Publication of illegal or wrongful content.
• Misuse of the Marketplace.
• Failure to meet KPIs.
• Non-payment of the monthly subscription or of the commissions owed by the seller.
• Publication of content on the Marketplace that infringes third-party rights.
• Non-compliance with applicable laws or regulations relating to the seller's activities.
• Non-compliance with the seller's legal and tax obligations.
• Breach of the seller's loyalty obligation.
• Repeated or prolonged failure to fulfil obligations.
• Fraud, money laundering or other criminal offences.

The seller remains liable to buyers even after the business's offers have been removed from the Marketplace. The seller's contact details remain visible so that buyers can still contact the business regarding their order.

TERMS FOR RANKING OF PRODUCTS

The payment for use of the Marketplace, as set out in the Seller Contract between Vente-unique.com and the seller, has no influence on how the sellers' products are displayed or ranked on the Marketplace.

Users can freely search for products on the platform. When searching, the first result will always be a product sold by Vente-unique, followed by products from Marketplace sellers.

Search by category and subcategory

Users will be able to access the various product categories, including:

• Sofas / Armchairs
• Dining room / Kitchen / Living room / Hallway
• Bedroom / Bedding / Office
• Bathroom / Wellness
• Garden / Leisure / Renovation
• Decoration
• Etc.

By clicking on the desired category, the user can access all the related subcategories.

By clicking on the desired category and subcategory, the user can access all the corresponding products sold via the Marketplace.

Search via search field

The user can use the search field to find a specific product.

In such cases, results are displayed by default in order of relevance. Relevance is determined based on the following criterion: Products containing the most occurrences of the searched keywords in their title, description and product description are shown first.

Search via filter

When a user searches for products on the Marketplace, the search can be refined using the filters found in the sorting section:

• Best sellers
• Colour
• Brand
• Shape
• Material
• Etc.

Results are displayed based on the following parameters, listed in descending order of importance:

• Relevance of results to any entered keywords and selected filters
• Commercial performance of products (e.g. number of units sold, turnover, etc.)
• Product availability at the time the user searches
• Delivery time
• Product price, including any current offers
• Product novelty (new products)

The user can change the order of the displayed results by choosing between several sorting options. For example, the user can choose to display new arrivals first or sort products from lowest to highest price.
